Lawson Lundell LLP has an opportunity for a full-time intermediate Corporate Law and Search Clerkto join our Corporate Services team in our Calgary office. This is an excellent opportunity for a Law Clerk at the intermediate level, who is looking for a new and exciting challenge at a growing Western Canadian law firm.
Standard Responsibilities
- Minute book review and preparation of Alberta and Federal annual maintenance documents (annual returns and annual resolutions)
- Draft standard letters and documents and routine e-mail correspondence concerning annual maintenance using application software (Word, Outlook, DocuSign, and ALF)
- Draft documents relating to change of directors, officer, registered/records office, Agent for service, and business name registrations/amendments
- Attend to filing of annual returns, notices of change, and business name registrations/amendments
- Due Diligence Searches corporate, personal property registry, land title, litigation, bank act and bankruptcy searches
- Saving digital documents to the firms document management system
- Saving digital documents to electronic minute books
- Generate electronic copies of minute books
- Draft standard letter sending out physical minute books, share certificates, and corporate seals
- Preparing hard documents for archiving or destruction
- Maintaining bring forward system
- Receive, review, and forward general department mail
- Post time using Aderant accounting software
- Other administrative tasks as required
Qualifications
- Legal Administrative Assistant/Paralegal certification from an accredited institution preferred.
- CORES Level 1 required and CORES Leve 2 an asset
- Knowledge of ALF corporate records database would be an asset
- Ability to draft standard correspondence with minimum supervision
- Strong oral and written communication skills
- Strong organizational skills & ability to multi-task and prioritize
- High degree of accuracy in work product with excellent attention to detail
- Ability to work independently while being part of a team
- Excellent computer skills
