The firm specializes in domestic and offshore tax planning, cryptocurrency taxation, and tax litigation, advising on income tax, excise tax, provincial tax, and international tax matters.


Select clients include teams affiliated with Tensor Labs / Vector, Helius, and Phygitals.


Role Description:


Solstice Law is seeking to retain two experienced Canadian tax lawyers (or firms) on a part-time, independent contractor basis to support files involving:

  • Corporate and international tax planning; and/or
  • Tax litigation, CRA audits, objections, and appeals.


The candidate will work collaboratively with lead counsel while independently owning defined workstreams.


Scope of Work:


Corporate Tax Lawyer

  • Advising on and researching relevant tax planning considerations for domestic and international tax matters
  • Reviewing and revising documents from international counsel for Canadian tax considerations (including SAFTs, SAFEs, Token Grants, share distribution agreements, and similar corporate documents)
  • Drafting step memoranda and corporate documents to implement client transactions (Tax-Free Rollovers, Share Exchanges, Subscriptions, Incorporations, Dissolutions, Reorganizations)
  • Tax planning for single and multi-entity structures with Holdcos, Opcos, Trusts, and Offshore Entities (e.g. Delaware, BVI, Cayman Islands, Panama, UAE)
  • Tax Memorandum drafting and support, including analysis on cryptocurrency-specific tax concerns


Tax Litigation Lawyer

  • Research and drafting tax audit responses
  • Reviewing and analyzing the tax considerations of cryptocurrency tax transactions and related activity
  • Corresponding with CRA Representatives, Clients and Third-Party specialists (accountants, valuators, and external counsel)
  • Conducting CRA audit and litigation risk assessments with the client and third-party specialists
  • Research and drafting for tax litigation pleadings (Notice of Objection, Notice of Appeal, Discovery Documents)
  • Reviewing complex financial records, including crypto transaction history from centralized exchanges, DeFi protocols, and related activity


Qualifications

  • 4 + years of experience in Tax Planning, Corporate Transactions and/or Tax Litigation (candidates with fewer years of experience may be considered depending on experience)
  • Experience with domestic and international tax planning and/or experience with CRA audits, appeals, and litigation
  • Experience with tax research and AI software (e.g. TaxNet Pro, BlueJ Legal, etc)
  • Completing or in Process of Completing the In-Depth Tax Program
  • Strong analytical and problem-solving skills, with an emphasis on complex tax issues
  • Exceptional written and verbal communication skills to communicate legal advice clearly
  • Experience in tax law issues within blockchain, cryptocurrency, or Web3 sectors is an asset (but not required)
  • Ability to work effectively in a collaborative team environment


Engagement Structure & Terms

  • Engagement is strictly on an independent contractor basis
  • No exclusivity; no employment relationship intended
  • Compensation structure flexible:
  • Hourly
  • Fixed-fee per deliverable
  • Per-file or ongoing retainer
  • Conflict checks and confidentiality obligations are required prior to engagement
  • Ability to scale involvement up or down depending on file load
