Job Summary

We are seeking a detail-oriented and organized Corporate Law Clerk to join our team. This role involves maintaining corporate records, preparing legal documentation, assisting with corporate transactions, and coordinating filings to ensure compliance with applicable laws and internal policies.

Key Responsibilities

  • Prepare, review, and organize corporate legal documents, including resolutions, agreements, amendments, and corporate governance materials
  • Maintain corporate minute books, entity records, and organizational charts
  • Assist with incorporations, dissolutions, mergers, reorganizations, and other corporate transactions
  • Coordinate regulatory and statutory filings with government authorities
  • Support compliance with corporate governance requirements and internal policies
  • Conduct legal and corporate research as required
  • Track deadlines, manage document databases, and ensure accuracy and confidentiality of records
  • Assist with due diligence processes for transactions and audits

Qualifications & Experience

  • Diploma or degree in law, legal studies, or a related field
  • 1–3 years of experience in a corporate law, in-house legal, or law firm environment
  • Strong knowledge of corporate law principles and governance practices
  • Experience with corporate filings and entity management systems is an asset
  • Proficiency in Microsoft Office and legal document management systems such as Soluno, iManage, Fast Company, ESC.

Job Types: Full-time, Permanent

Pay: $55,000.00-$65,000.00 per year
